Scope
These terms govern the use of the Rewalz software and the related services by the client company. Differing terms of the client apply only if Rewalz agrees to them in writing.
Services
Rewalz provides web-based Human Resources software that, depending on its stage, covers functions for recruiting, personnel files, absences, documents, time tracking and payroll. The functions available at any time follow from the roadmap and the product description. Rewalz develops the service continuously and may change or replace individual functions, provided the agreed core benefit is preserved.
Conclusion of contract and activation
The contract is formed when the account is activated. Access is granted individually on request through the waitlist. A free trial is not offered at present.
Prices and payment
The amount stated on the pricing page applies. Billing is either monthly or yearly in advance. All prices are stated without the statutory VAT, which is added depending on where the client is based. With yearly payment the amount for twelve months is billed in advance.
Client obligations
The client keeps its access credentials secret and ensures that only authorised people access the account. The client makes sure it has the necessary legal basis for the personal data it processes and uses the service only within the applicable laws.
Processing on behalf
Where Rewalz processes personal data for the client, it does so as a processor on the client's instructions. The details are set out in a separate data processing agreement that forms part of these terms. The client remains the controller for the data it processes.
Availability
Rewalz strives for high availability of the service. Maintenance is announced where possible and scheduled for low-usage times. A claim to a specific availability exists only where it has been expressly agreed.
Liability
Rewalz is liable for damages only in cases of intent and gross negligence. Liability for slight negligence is excluded as far as the law allows. There is no liability for indirect damages and lost profit. Mandatory statutory liability provisions remain reserved.
Term and termination
The subscription runs one month or one year depending on the cycle chosen and renews for the same period unless it is cancelled for the end of the current period. Cancellation is possible without formality. Amounts already paid for the current period are not refunded.
Data export after the contract
The client can export its data before the contract ends. After the end the data is deleted according to the retention periods set. Retention beyond that happens only where the law requires it.
Applicable law and jurisdiction
Swiss law applies, excluding conflict-of-law rules. The place of jurisdiction is the seat of Rewalz, unless a mandatory statutory provision prescribes another jurisdiction.
